Terms of Service for Upzo

1. Acceptance of Terms
By accessing or using Upzo (“the Service”), provided by Upzo LLC (“Upzo,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.
2. Description of Service
Upzo provides a cloud-based infrastructure monitoring platform. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
3. Account Registration
To use the Service, you must register for an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to provide accurate and complete information and to update it as necessary.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations.
- Interfere with or disrupt the integrity or performance of the Service.
- Attempt to gain unauthorized access to the Service or its related systems.
- Use the Service for any high-risk activities where failure of the Service could lead to death, personal injury, or significant environmental damage.
5. Fees and Subscriptions
- Free Trial: New accounts may be eligible for a free trial period as specified during registration. A valid payment method is required to start a trial. Unless canceled before the trial period expires, your payment method will be charged the applicable subscription fee.
- Pricing: The fees displayed on the Service are the total amounts due. Upzo operates on a "tax-inclusive" pricing model; the price you see at checkout is the final price you pay.
- Taxes: Your payment is inclusive of any sales, use, or value-added taxes that Upzo is required to collect and remit under applicable law. You are responsible for any other local taxes, duties, or assessments that your specific jurisdiction may impose on your purchase.
- User Classification: You must accurately identify whether your use of the Service is for personal/consumer use or business/professional use. This selection determines the tax rules applied to your transaction. Business or professional users may be required to provide a valid Tax ID.
- Plan Modifications: Upgrades take effect immediately with a prorated charge. Downgrades take effect at the start of the next billing cycle; no refunds are provided for the remaining period.
- Billing Cycle: Subscriptions are billed in advance on a recurring basis.
- Failed Payments: If a scheduled charge fails, Upzo will attempt to re-process the payment. We reserve the right to suspend access if fees remain unpaid for more than seven (7) days.
- Late Interest: Overdue amounts may bear interest at 1.5% per month. You agree to reimburse Upzo for reasonable collection costs.
- Billing Disputes: If you believe you have been charged in error, you must notify us at [email protected] within sixty (60) days of the transaction date. Failure to notify us within this period waives your right to dispute the charge.
6. Termination
- Termination by User: You may cancel your subscription at any time via the Service interface at least twenty-four (24) hours before the end of the current period. Access remains active until the end of the current paid billing period.
- Termination by Upzo: Upzo reserves the right to suspend or terminate your account at any time for any reason, including violations of Section 4 or non-payment.
- Data Deletion: Upon expiration or termination, Upzo has the right to immediately and permanently delete all account data. You are responsible for exporting data before the end of your billing cycle.
7. Disclaimers and Limitation of Liability
- Service "As Is": THE SERVICE IS PROVIDED ON AN "AS IS" BASIS. UPZO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
- No Guarantee of Alerts: YOU ACKNOWLEDGE THAT UPZO IS A MONITORING TOOL AND NOT A GUARANTEE OF YOUR SYSTEM'S UPTIME. WE ARE NOT LIABLE FOR FAILURES TO DETECT OR REPORT OUTAGES.
- Limitation of Liability: IN NO EVENT SHALL UPZO LLC BE LIABLE FOR INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES.
- Liability Cap: UPZO’S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE FEES ACTUALLY PAID BY YOU TO UPZO DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Indemnification
You agree to indemnify, defend, and hold harmless Upzo LLC from and against any claims, damages, and expenses (including legal fees) arising from your use of the Service or your violation of these Terms.
9. Governing Law and Dispute Resolution
- Governing Law: These Terms are governed by the laws of the State of California.
- Dispute Resolution: Disputes will be settled by binding arbitration in San Francisco, California, except for individual actions in small claims court.
- Class Action Waiver: CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS PROCEEDING.
10. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Upzo.
- Severability: If any provision is found unenforceable, the remaining Terms remain in full force.
- Assignment: Upzo may assign these Terms without restriction. You may not assign them without our written consent.
